Under the terms of the transaction, Jefferies shareholders will receive only 0.81 shares of Leucadia stock for each share of Jefferies stock they own. The transaction values Jefferies stock at approximately $17.24. The transaction may undervalue the Company and will result in a loss many Jefferies shareholders.
